This Profitable Business VIP Day Coaching Agreement is by and between Theresa Cantley, LLC (“Coach”) and you (“Client”, “Coachee”, “You”) and together with Coach, the “Parties”, and each a “Party”).

WHEREAS, Coach is in the business of providing coaching services related to Business Growth Strategy and Implementation Coaching, Marketing Coaching; and 

WHEREAS, Client desires to retain Coach to provide said coaching services, and Coach is willing to perform such coaching services under the terms and conditions hereinafter set forth; 
 
The Coaching Relationship 

The Profitable CEO VIP Day program is an alliance between Theresa Cantley, LLC and the client designed to guide the client towards architecting a strategy to build sustainable business growth, improved leadership ability and a fully executable Marketing plan.  This will incorporate creating an executable strategy, a healthy culture and a unique customer experience.  With a deeper focus on implementation, execution, accountability and unique problem solving, Theresa will guide the client towards building a resilience, wealth and impact within their business and their life.   

Strategy – Build a strategy that is right for the individual business that supports the lifestyle and vision you want.  We will also focus on creating your core values, your brand and your mission and then create goals to move it all forward into reality 

Culture – The goal in this section is to create a healthy, wealthy, happy environment that embraces the brand of the business.  We will focus on building ownership, mastery and purpose into each roll within the organization that embraces diversity and inclusion.  From the diverse experience and backgrounds of each person innovation is born. 

Experience – In this area we will focus on building a signature experience like no other that makes your business distinct and the competition irrelevant.  We will focus heavily on marketing, social media and content development. 

Client-Coach Relationship 

An effective coaching relationship requires mutual understanding and respect between the Coach and the Client. That requires the parties to agree to some basic tenets of coaching, including: 

Coach and Client agree to communicate honestly, to be open to feedback, and to make time and space to participate fully in the coaching sessions called for hereunder. Client specifically agrees to be open to coaching.  
 
By participating in the coaching, you agree to accept personal responsibility for the results of your actions. You agree that the Coach has not made any guarantees about the results of taking any action, whether recommended during any coaching session or not. You recognize that your ultimate success or failure will be the result of your own efforts, your particular situation, and innumerable other circumstances beyond the control and/or knowledge of the Coach. 
 
The Coach’s Commitment 
• Apply current best knowledge and coaching practices 
• Provide a safe, but challenging learning environment to promote expansion, exploration and discovery 
• Engage in direct, sometimes challenging conversations to move past things that are hindering growth 
• Assist you to determine the most high-leverage and desired outcomes 
• Guide you in activating breakthroughs in your business that get you the results you want 
• Maintain confidentiality regarding the relationship and any information share during and thereafter 
• Action items concluding each meeting and a call recording (if via Zoom) to review 
 
The Client or “Coachee” Commitment 
• Take extreme ownership of your own well-being, decisions, choices, actions and results arising out of or resulting from the coaching relationship 
• Communicate honestly, be open to feedback and assistance and create the time and energy to participate in coaching meetings.  
• Be willing to explore, challenge and change old patterns or ways of doing things and be open to try new ways of leading, learning and working. 
• Be willing to challenge yourself – confront your thinking and behaviors in support of your goals 
• Come prepared to thel coaching session and make us aware of any conflicts 24 hours in advance 
 
Coaching Process and Scheduling  

The Coaching meeting between Theresa and the Client will be held one day (6 hour day) at a mutual agreed upon date and time and will last 6 hours.  If additional time is needed Theresa will need 48 hours in advance to make adjustments to the schedule.  This VIP Day will be held live or via Zoom web meeting.   
 
The Profitable CEO VIP Day Coaching Clients will also have access to the following

The Profitable CEO Coaching Fees   

In consideration of the provision of the Services by the Coach, Client shall pay one payment of $10,000 in full prior to the meeting day.  Payment to Coach of such fees shall constitute payment in full for the performance of the Services. In the event that Client fails to make any such payment, the VIP Day will not be done until payment is made in full. 

Additional Expenses 

 

Anything out of the scope of this project will be billed at a rate of $1,000/hour.

Cancellation Policy 
 
This Agreement shall continue until terminated by one of the Parties. Either Party may terminate the Agreement without cause by providing written notice within 7 days prior to any ongoing monthly fee payment deadline. In the event of termination under this provision, the Coach shall continue to provide service through the end of the period for which the fees have been paid 

Confidentiality 

Theresa takes Confidentiality very serious.  The attached mutual non-disclosure & confidentiality agreement shall be fully executed by both parties for this agreement to be valid.  

The Coach shall treat the relationship with Client, as well as all information shared by the Client, as confidential.  

Limitation of Liability 
IN NO EVENT SHALL COACH BE LIABLE TO CLIENT OR TO ANY THIRD PARTY FOR ANY LOSS OF USE, REVENUE, OR PROFIT, OR FOR ANY CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES WHETHER ARISING OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, REGARDLESS OF WHETHER SUCH DAMAGE WAS FORESEEABLE AND WHETHER OR NOT COACH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ANY AGREED OR OTHER REMEDY OF ITS ESSENTIAL PURPOSE.  

Entire Agreement. This Agreement constitutes the sole and entire agreement of the Parties with respect to the subject matter contained herein, and supersedes all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, regarding such subject matter.  

Severability. If any term or provision of this Agreement is found by a court of competent jurisdiction to be invalid, illegal or unenforceable in any jurisdiction, such invalidity, illegality or unenforceability shall not affect any other term or provision of this Agreement or invalidate or render unenforceable such term or provision in any other jurisdiction. 

Amendments. No amendment to or modification of this Agreement is effective unless it is in writing and signed by each Party.  

Waiver. No waiver by any Party of any of the provisions of this Agreement shall be effective unless explicitly set forth in writing and signed by the Party so waiving. Except as otherwise set forth in this Agreement, no failure to exercise, or delay in exercising, any right, remedy, power or privilege arising from this Agreement shall operate or be construed as a waiver thereof, nor shall any single or partial exercise of any right, remedy, power or privilege hereunder preclude any other or further exercise thereof or the exercise of any other right, remedy, power or privilege. 

Relationship of the Parties. Nothing contained in this Agreement shall be construed as creating any agency, partnership, joint venture or other form of joint enterprise, employment or fiduciary relationship between the parties, and neither party shall have authority to contract for or bind the other party in any manner whatsoever. 

Dispute Resolution. Each Party irrevocably and unconditionally agrees that any dispute arising under or related to this Agreement shall be resolved exclusively through arbitration to be held in Lansdale, PA under the rules of the American Arbitration Association / in the state or federal courts with jurisdiction for cases arising in Lansdale, PA. Each Party irrevocably and unconditionally submits to the exclusive jurisdiction of such arbitration and agrees to bring any such dispute only in such forum. Each Party agrees that a final judgment by such arbitration is conclusive and may be enforced in other jurisdictions by suit on the judgment or in any other manner provided by law.  This Agreement shall be governed by and construed in accordance with the laws of Pennsylvania, without effect of any conflicts of law provisions. 

Counterparts. This Agreement may be executed in counterparts, each of which is deemed an original, but all of which together are deemed to be one and the same agreement.
